Rules of the myCAUDALIE Loyalty Program

1) Object:

CAUDALIE, a simplified-joint stock company (SAS) with capital of 1,007,600 euros, with its head office located at 6, Place de Narvik – 75008 Paris, registered in the Paris Trade and Companies Register under number 398 360 123, has a customer loyalty program that operates through its www.caudalie.com website.

The myCAUDALIE Loyalty Program allows customers who buy certain Caudalie products to accumulate points in an account, which can then be converted into gifts and/or benefits.

2) Membership of the myCAUDALIE Loyalty Program:

2.1 Membership conditions:

Membership of the myCAUDALIE Loyalty Program is free of charge. Only natural, adult persons residing in Metropolitan France and in one of the following countries may join the Loyalty Program:

o Austria
o Belgium
o Brazil
o Canada
o Germany
o Greece
o Italy
o Luxembourg
o Monaco
o The Netherlands
o Poland
o Portugal
o Russia
o Spain
o Switzerland
o Turkey
o United Kingdom
o United States

myCAUDALIE Loyalty Program members are considered to be natural persons who have created an account in the myCAUDALIE space of the www.caudalie.com website and who have registered at least one myCAUDALIE code. A person may subscribe to one account only (same last name, first name(s) and address).

A myCAUDALIE code is a single series of 10 or 11 digits/letters, found only inside Caudalie product boxes included in the myCAUDALIE program.

The myCAUDALIE account is nominative, personal and reserved for natural persons for their private and non-professional use.

2.2 Terms of use:

The myCAUDALIE Loyalty Program is a program designed to provide benefits to Caudalie’s loyal customers. Creating a myCAUDALIE account automatically implies full unconditional acceptance of these rules.

Membership of the myCAUDALIE Loyalty Program may only be validated in our computer file if the information provided in the questionnaire on joining the myCAUDALIE Loyalty Program is complete, legible and usable.

It is the Member’s responsibility to maintain the information relating to himself up-to-date on his personal myCAUDALIE space on www.caudalie.com. CAUDALIE may in no case be held responsible for non-receipt of a loyalty offer by the Member.

3) Personal data:

The personal data that are collected are compulsory and required to take advantage of the various benefits of the myCAUDALIE Loyalty Program.

By subscribing to the myCAUDALIE Loyalty Program, the Member consents to the use of his personal data by CAUDALIE in the context of this program, in particular in order to send him offers and information. A Member of the program allows CAUDALIE to carry out all the necessary checks regarding his identity or his home address.

In accordance with the provisions of the Act relating to computing, files and freedoms of 6 January 1978, CAUDALIE has undertaken the declaration of its file to the CNIL. The Member has a right to access, oppose and correct this information by writing to Caudalie Customer Relations Service, 6 Place de Narvik, 75008 Paris, France.

4) Earning myCAUDALIE points:

When buying a Caudalie product which has a unique code, the Member of the Loyalty Program logs onto the www.caudalie.com website and his myCAUDALIE personal account, enters the unique myCAUDALIE code and automatically benefits from the loyalty points to which his purchase entitles him.

Products that are part of the myCAUDALIE program allow points to be built up in the following ways:

o All products of the Vinosource line = 20 points
o The Premières Vendanges product = 20 points
o All products of the Teint Divin line = 20 points
o All products of the Soleil Divin line = 20 points
o All products of the Polyphenol C15 line = 30 points
o All products of the Vinoperfect line = 40 points
o All products of the Resveratrol [Lift] line = 40 points
o Caudalie's Parfum Divin = 40 points
o All products of the Vinexpert line (except Dietary supplements) = 40 points
o Premier Cru The Eye Cream and Premier Cru The Elixir = 40 points
o Premier Cru The Cream and Premier Cru La Crème Riche = 80 points
o 50-minute treatment in Caudalie boutiques = 40 points

Points earned are credited to the Member’s personal account. Each member shall have access to his points balance:

o On their personal myCAUDALIE account on www.caudalie.com
o By phone or email by contacting our Customer Relations Service

Points are valid for a maximum period of 18 months from the date they are awarded. Earning new points following the purchase of a product that is part of the myCAUDALIE program results in the validity of all the points already built up on the Member’s account being extended by eighteen (18) months.

The Member can earn extra points during occasional marketing promotions, in particular birthday gifts and/or special offers, by giving their opinion about a Caudalie product (subject to having a unique code which matches the project in question) or by referring someone to join (provided that the person in question creates a myCAUDALIE account by entering an initial unique code).

5) Converting myCAUDALIE points:

The points built up and credited to the Member’s account may only be converted into the gifts listed in the “Choose my gift” section, in the Member’s personal space and while stocks last.

In order to benefit from his gift(s), the Member can choose to:

- Include it(them) in an online order of products
- Collect it(them) in one of the Caudalie’s boutique (see list here: https://us.caudalie.com/spas-2/boutiques-caudalie.html)

6) Changes to the myCAUDALIE Loyalty Program:

CAUDALIE reserves the right to change or withdraw, at any time, the myCAUDALIE Loyalty Program (membership terms, benefits, etc.).

Should the myCAUDALIE Loyalty Program cease to operate, CAUDALIE shall allow members the opportunity to use their remaining loyalty points within a month. Should these loyalty points not be used by the Member, they shall be permanently lost.

7) Fraudulent use:

Any breach of these rules, any fraudulent use by the Member of the myCAUDALIE Loyalty Program or by any third party acting on behalf of the Member, shall automatically lead to the deactivation and deletion of the loyalty account without compensation or indemnity of any kind.

CAUDALIE reserves the right, in order to prevent fraud, to deactivate the account of a Loyalty Program Member without the person concerned being able to claim any compensation, of any kind, in particular in the case of an unusually high number of entries of myCAUDALIE codes on the same day and/or over several days. CAUDALIE reserves the right to perform checks at any time on observance of the rules.

8) Non-waiver:

Failure by one or other of the parties not to act pursuant to these rules does not in itself constitute a waiver of the right to act, except in the event of an express, written waiver.

9) Applicable law:

These rules are governed by French law.

Should any of the stipulations of these rules be ruled as being invalid, void, or inapplicable for any reason, this stipulation shall be regarded as separable from the rest of the rules and shall not affect the validity and the applicability of the other stipulations.

10) Competent courts:

In the absence of agreement, the French courts shall have exclusive jurisdiction with respect to any dispute relating to the interpretation and implementation of these rules.
